Will Twitter file a secret IPO?

Twitter is expected to file for an initial public offering in late 2013 or early 2014. That much is widely known. Less attention has been paid to whether Twitter will make a normal IPO filing or if, as new rules allow, the company will try to go public in secret.

The Jumpstart Our Business Startups (JOBS) Act, signed into US law last year, lets firms with less than $1 billion in annual revenue keep their IPO filings confidential up until three weeks before they start marketing shares to investors in a “road show.” It was largely proposed and pushed by venture capitalists in Silicon Valley, who said it would stem a decline in US IPOs by reducing the burdens of going public felt by smaller firms. Ordinarily, a company has to make public a lengthy discussion of its financials, strategy, and risks months before an IPO, giving investors—and competitors—more of a chance to evaluate the stock.

In the first nine months since the JOBS Act went into effect, 59% of eligible companies availed themselves of the option to keep their IPO filings secret, according to an Ernst & Young study reported today by the Wall Street Journal. Twitter is likely to be eligible: It made $350 million in revenue last year, and it’s not expected to hit $1 billion until 2014.

Why Did Facebook's Stock Fall?

Facebook's stock had been in a free fall since it hit the public markets.

This morning, it's actually up, but the company isn't out of the woods just yet.

What exactly is happening here? Why was the stock still falling? And why does the IPO suddenly look like a disaster?

FACEBOOK COLLAPSES OVER 12.5% AND BREAKS THE IPO PRICE

It's now off over eight percent to around $35/share, well below the $38/share IPO price.

Facebook Will Have The Biggest Tech IPO Ever, Raising $16 Billion With $38 Share Price

Facebook shares will start trading at $38 tomorrow, the company confirmed in a release, giving it a valuation of $104.12 billion. Facebook and its early shareholders will raise just over $16 billion in tomorrow’s much anticipated IPO.

At a $104 billion valuation, Facebook is worth more than any other tech IPO candidate at the time of its offering. It also perfectly matches what Facebook shares have been trading at in secondary markets over the last several months. Google was worth $23 billion at the time of its very unusual Dutch auction IPO back in 2004. As of tomorrow Facebook will be worth about half of what Google is worth now.

The question that needs to be asked again: Is Facebook really worth 12-digits?

$100,000,000,000. A one followed by 11 zeroes. Has social networking truly become so lucrative that Facebook’s intention of launching their initial public offering on May 17th will yield a company that can raise $10 billion against such a lofty valuation?

It’s a question that was being asked when Facebook was worth 1/3rd of where it is now. The question will be asked until it fails or clearly succeeds. What do you think? Is Facebook really worth that much?

Should You Invest In an Initial Public Offering?

Facebook recently filed for an initial public offering (IPO) to raise $5 billion and many investors, both institutional and individual, are drooling over the prospects of buying into the hottest company on the block – for now.

I say for now, because other investors are questioning how profitable the social network is, how fast revenues are growing, and whether the company is worth a $5 billion valuation. (It will be three times more expensive than Google was at its IPO).

Thus the question: should the typical Joe Investor consider investing in Facebook or any other hot company?

The recent performance of Yelp’s IPO illustrates what could be unprecedented interest in the stock. Yelp Opens At $22, Which Is Shockingly High

Yelp just opened $22 and its moving higher.

It was priced at $15.

The valuation is now 20X revenue.

That is very high, says BII analyst Alex Cocotas.

Alex is skeptical about the company, which he says has no clear path to profitability.

Facebook's Revenue Numbers Just Leaked, And The Numbers Look Underwhelming

Gawker's Ryan Tate just published what he says "a source with knowledge of Facebook's finances" tell him are…Facebook's finances.

The numbers look a little light.

Facebook was supposed to generate about $4 billion in revenue this year and make $2 billion in EBITDA.
